Terms of Service

These Terms govern the services provided between Vértice Studio (Pty) Ltd, Company Reg. 2025/000000/07, registered at 123 Bree Street, Cape Town 8001, South Africa ("Vértice", "we") and the contracting client ("Client", "you").

1. Scope

Vértice provides design, development and maintenance services for websites, online stores and web applications, according to the scope defined in a commercial proposal accepted by both parties.

2. Acceptance

Engagement is formalised upon written acceptance of the proposal and payment of the first instalment (50%). From that moment, the timeline and scope become binding.

3. Acceptable use

• Our services may not be used for unlawful purposes or in breach of third-party rights.
• The Client is responsible for the copyright and licensing of any content it supplies.
• Vértice reserves the right to refuse projects that conflict with its values or applicable law.

4. Intellectual property

Upon full payment, all rights to the delivered source code and designs transfer to the Client. Third-party open-source libraries remain under their respective licences. Vértice retains the right to feature the work in its portfolio unless an NDA states otherwise.

5. Timelines and delivery

Timelines are estimates and depend on the Client providing content and feedback promptly. Delays caused by the Client are not attributable to Vértice.

6. Payments

Payments are made in two instalments (50/50) unless the proposal states otherwise. Invoices are issued in South African Rand (ZAR) and include VAT where applicable. Payments overdue by more than 15 days may suspend the work and accrue statutory interest.

7. Warranties and limitation of liability

Vértice warrants that services will be performed with reasonable professional skill. Vértice's liability is limited to the amount actually paid for the service. We are not liable for lost profits, indirect or consequential losses.

8. Cancellation

The Client may cancel at any time by paying the pro-rata value of work already performed. See our Refund Policy.

9. Confidentiality

Both parties undertake to protect the confidentiality of sensitive information shared during the project.

10. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of South Africa. The parties submit to the jurisdiction of the Western Cape High Court, Cape Town.
